Terms of Service

These Terms of Service ("Terms") govern the use of SalesMonitor's website and service (the "Service"). By using the Service, you agree to these Terms. If you do not agree to the Terms, do not use the Service.
1. Service Provider
Salesmonitor Oy ("we", "us", "our") provides the Service. Contact: info@salesmonitor.io.
2. Description of the Service
SalesMonitor is a cloud-based marketing analytics service that connects the user's marketing and sales data from various sources (e.g., Google Analytics, Google Ads, Meta Ads, TikTok Ads, Shopify, WooCommerce) and produces analyses and recommendations.
The Service is currently in a pre-launch phase and available in limited form through a waiting list. Features, pricing and availability may change before the public launch.
3. User obligations
As a user, you commit to:
- Providing accurate and up-to-date information when registering
- Keeping your credentials confidential and being responsible for their use
- Using the Service in accordance with applicable law and these Terms
- Not using the Service for unlawful, harmful purposes or in ways that infringe third-party rights
- Not attempting unauthorised access to the Service's systems or other users' data
- Not copying or reselling the Service without a separate agreement
4. Subscriptions and payments
During the pre-launch phase, the Service is available free of charge in limited form. After the public launch, the Service is a paid subscription-based service (SaaS) whose prices and terms are published separately.
When the Service becomes paid:
- The subscription is valid until further notice and is billed monthly in advance
- Payments are processed by Stripe Payments Europe Ltd. or an equivalent payment service provider
- The subscription can be cancelled at any time and ends at the end of the current billing period
- A used billing period is not refunded
- Price changes are notified at least 30 days in advance
5. Intellectual property
The Service and its content (including software, source code, user interfaces, logos, trademarks and documentation) are the property of Salesmonitor Oy or its licensors. The user is granted a limited, non-exclusive and non-transferable right to use the Service under these Terms.
Data brought into the Service by the user remains the user's property. You grant us a limited right to use that data for the provision of the Service.
6. Processing of personal data
We process personal data in accordance with the Privacy Policy. The Privacy Policy is available at https://salesmonitor.io/en/privacy and forms an integral part of these Terms.
7. Service level and availability
We strive to keep the Service as reliably available as possible, but do not guarantee that the Service will be available without interruption. We may carry out maintenance that may cause temporary outages.
During the pre-launch phase, we do not provide service-level commitments (SLA). At the time of the public launch, we will publish a separate service-level commitment.
8. Limitation of liability
The Service is provided "as is". We make no warranties that the Service will meet all user needs or be error-free.
To the extent permitted by applicable law, Salesmonitor Oy's total liability for all damages is limited to the amount paid by the user for the Service during the 12 months preceding the event causing the damage, or EUR 100, whichever is higher.
We are not liable for indirect or consequential damages, including lost profits, lost business opportunities or data losses.
Nothing in these Terms limits liability that cannot be excluded under mandatory law.
9. Termination
You may stop using the Service at any time by cancelling your subscription. We may suspend or terminate the provision of the Service to you if you breach these Terms, use the Service in a way that causes harm, or if we have reasonable grounds to believe your use is unlawful.
When the Service is terminated, we delete your user data according to the retention periods set out in the Privacy Policy.
10. Changes to the Terms
We may update these Terms. Material changes will be notified by email or in the Service at least 30 days before they take effect. By continuing to use the Service after the changes take effect, you accept the updated Terms.
11. Governing law and dispute resolution
These Terms and the Service are governed by Finnish law. Disputes are resolved primarily by negotiation. If no settlement is reached, disputes are settled in the Helsinki District Court.
Consumer customers also have the right to refer the dispute to the Consumer Disputes Board (www.kuluttajariita.fi) or to the general court of their place of residence.
